If correct, Musk contemplating the bankruptcy of Twitter is not a surprise
The reported structure of the acquisition, with Twitter saddled with interest payments greater than revenue, always meant a crush was coming unless there was a sudden upswing
What puzzles is not Musk’s ineptitude, but how serious financiers facilitated the deal
What were they expecting?
And what was their security?
Something is odd
In essence: Musk may be a buffoon, but those financing the acquisition of Twitter would not be.
And even if the lenders were somehow sentimental or easily impressed, their lawyers certainly would not have been.
(I used to be such a lawyer.)
The lawyers’ Due-Diligence would have been intense.
So: what security could the lenders have demanded before lending to Musk for this deal?
I think we are all about to find out.
This may not be pretty.
Bafflement is the starting point for me too. I am puzzled why serious lenders put serious money into this. They and their lawyers will not be sentimental.
For what puzzles me is not the buffoonery of Musk, but why serious lenders - with their even more serious advisers - would have proceeded with financing this acquisition, knowing the likelihood of failure.
And some lenders plan for failure, just as some lenders plan for success.
If we assume the lenders for Musk’s acquisition of Twitter were properly advised and did their due diligence, then we can assume Twitter’s precarious state would not be a surprise even if Musk’s current antics were unexpected.
If this further assumption is correct, then the lenders would not be expecting Musk to succeed, but to fail.
In essence, this would not be about getting a return on their investment, but about enforcing the security.
If so, what would that be?
I remember the general election of 2010 on Twitter, and the general elections of 2015, 2017 and 2019. I remember the election of Trump and the Brexit referendum.
I remember how they all played out through Twitter.
(Including the good and fun parts: Four Seasons anyone?)
I wonder if 2022 will be the last major "Twitter" vote in UK and US and whether, by 2024 - where US and UK next likely to go to polls - will be in a different social media landscape.
And what will change?
